General Terms

This document provides the Terms of Use under which farmers and other agriculturalists, agricultural organizations, farmer bodies, corporate bodies, last mile delivery channel users may use AgroEx- a mobile application which is owned and operated by M/S [Ulink AgriTech Private Limited] a Company Incorporated in India under the Companies Act, 1956, having its registered office at AgroEx [ S.No.:46/1, A1 Building, First Floor, Office No. 101 E-Space IT park, Pune Nagar Road, Somnath Nagar, Vadgoan Sheri, Pune, Maharashtra 411014].

Please read these Terms of Use carefully before using the Website/App. Your access to and use of the website/App is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the website and/or app. By downloading, installing, accessing or using User acknowledges and agrees that he/she is legally competent and is entering into a legally binding contract with Ulink AgriTech Private Limited in respect to his/her use of the Website/App which contract includes all Supplementary Terms.

The User acknowledge and agree that a printed version of this contract and/or any electronic communication by ULink AgriTech Private Limited shall be admissible in judicial or administrative proceedings based upon or relating to this contract and/or your use of the Website/App to same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

The User is responsible for all access to the App through his/her mobile device/login id and for bringing these Terms of Use to the attention of all such persons. The Use of the App does not include the provision of a mobile device or other necessary equipment to access it. To use the Website/App, User will require Internet connectivity and appropriate telecommunication links. We shall not have any responsibility or liability for any telephone or other costs User may incur in this respect.

The User shall not in any way use the Website/App or submit to us or to the Website/App or to any user of the Website/App anything which in any respect to following:-

Is in breach of any law, statute, regulation or bylaw of any applicable jurisdiction;

Is fraudulent, criminal or unlawful; is inaccurate or out-of-date; may infringe or breach the copyright or any intellectual property rights or privacy or other rights of us or any third party; may be contrary to our interests; is contrary to any specific rule or requirement that we stipulate on the Website or App.

The User agree not to access the Website or App without authority, interfere with, damage or disrupt any part; any equipment or network on which the Website/App is stored; any software used in the provision of the Website/App; or any equipment or network or software owned or used by any third party.

The User hereby grants AgroEx an irrevocable, royalty-free, worldwide, assignable, sub-licensable license to use any material which User submit to us or the Website/App for the purpose of use on the Website/App or for generally marketing (by any means and in any media, including, but not limited to, on our website or app) our services. The User agrees to waive his/her moral rights to be identified as the author and we may modify User’s submission.

The User assumes sole responsibility for results obtained from the use of the Website/App, and for conclusions drawn from such use. Subject to clauses below, we shall have no liability for any damage caused by errors or omissions in any information, instructions or scripts provided to us by User in connection with the Website, or any actions taken by us at User’s direction.

Services

The AgroEx App is a mobile and web application where registered users would be able to perform logistics related actions like mark deliveries, process returns, deposit COD amount, view incentives etc.

The AgroEx App/Web have been prepared in and is downloadable in India in accordance with Indian law. If they are accessed by User from outside India, User should ensure that such download is permissible and is in accordance with the laws of such jurisdiction.

The User is required to intimate itself about the latest feature and services available on the Website/App. The information on the Website and App may be out of date and Ulink AgriTech makes no commitment to update these materials on the App/ Website.

The Website and App may be upgraded from time to time with new features and services.

The User agrees that AgroEx may collate, compile, archive use, transfer, create databases out of or otherwise deal with User’s personal data and use any part of it:

(a) as reasonably necessary provide Service;

(b) Service improvement and development of new products and/or services;

(c) to inform and/or get in touch with Users about the availability of or engage in direct marketing efforts for newer products and/or services or AgroEx or the suppliers or counter parties (and for that purpose share Client or User’s personal data with those third parties), unless User has in each case opted out of receiving such communications.

Independence from Platforms

The App/Web is independent of any platform on which it is located. AgroEx is not associated, affiliated, sponsored, endorsed or in any way linked to any platform operator, including, Apple, Google, Android or RIM Blackberry (each being an \”Operator\”).The Download, installation, access to or use of the App/Web by User is also bound by the terms and conditions of the Operator.

Limitation of Liability

We shall not be liable if for any reason, the Website or App are unavailable for any time or for any period. We make no warranty that User’s access to the Website/App will be uninterrupted, timely or error-free. While we endeavour to ensure that information and materials on the Website and App are correct, no warranty or representation, express or implied, is given that they are complete, accurate, up-to-date, fit for a particular purpose and, to the extent permitted by law, we do not accept any liability for any errors or omissions. The User understands and hereby agree that, except as otherwise expressly stated and to the extent applicable by law, in no event will AgroEx and its affiliates be liable to any user or any other party for any damages, including but not limited to direct, indirect, special, consequential, or exemplary damages. The User understands and agrees that its use of the Website and App and is conditioned upon your waiver of any right against AgroEx and its affiliate, for damages or losses resulting from your use of the Website/App.

Disclaimer of Warranties

AgroEx makes no warranties regarding the safety of the Website/ App and the accuracy of the content thereon. Each party represents and warrants that it shall perform its obligations so as to comply with applicable Central, state and local laws, ordinances and regulations. The users warrants that its own or otherwise have sufficient rights to grant the license granted to its proprietary material in compliance with all applicable laws and regulations including but not limited to any Indian patent, copyright, trademark, or trade secret law or regulation. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.

Intellectual Property Rights

The AgroEx services and materials made available on the Website/App, and their selection and arrangement inclusive of trademarks, service marks, information and content, whether registered or not, are the sole property of AgroEx (“AgroEx Property”).The user acquires no right, titles or interest in any of the “AgroEx Property”. The User will not (and will not allow any third party to) copy, modify, or have any rights over AgroEx property, except as expressly provided herein.

We view protection of Your privacy as a very important principle. We understand clearly that You and Your Personal Information is one of Our most important assets. The User may submits and /or personal information with AgroEx as a part of services offered herein. The Personal information of the user would be stored and used as per applicable law and privacy policy of AgroEx.

Indemnification

The User agrees to indemnify, defend and hold harmless, AgroEx and its affiliates from any and all loss, damage or liability including reasonable attorney’s fees arising from any third-party claim, action or allegations of infringement based on: information, content or data submitted by user in connection with the Website/ App; Its use of the Website/ App in breach of any term or condition in the User Agreement; any violation of an applicable law, regulation or rights of another including misrepresentation and fraudulent conduct; breach of User representations and warranties as set forth herein.

Dispute Resolution

Any dispute, difference or question which may arise at any time hereafter between the parties hereto and touching upon the true construction of this or rights and liabilities of the Parties hereto shall be resolved amicably according to the provisions of the Arbitration and Reconciliation Act, 1996 or any statutory modifications or re-enactment thereof for the time being in force. The arbitration proceedings shall be conducted in Mumbai. The language for such arbitration proceedings shall be English. This Agreement shall be governed by and construed in accordance with the laws of India. Any disputes arising out of this Agreement shall be submitted to the jurisdiction of Mumbai Courts.

Entire Agreement

These terms and conditions shall govern the relationship between AgroEx and the User.

Privacy Policy

The websites – ‘Agrostar.in’ and ‘corporate.agrostar.in’ (“Websites”) and the mobile applications – ‘Agrostar Agriculture App’ excluding the ‘Products’ section where available (“App”), the ‘AgroStar Saathi App’, and ‘Agroex’ app (the Websites and Apps collectively referred to as “Platform”) are owned and operated by ULink AgriTech Private Limited (“We”, “Us”, “Company” or “Our”, which expression shall mean and include its affiliates, successors, and assigns). We are committed to protecting and respecting your privacy. While you may be able to browse certain sections of the Platform without registering with us, please note that we do not offer any product/service under our Websites or App outside India. By visiting this Platform, providing your information, or availing any product/service offered on the Platform, you expressly agree to be bound by the terms and conditions of this Privacy Policy, the Terms of Use, and the applicable service/product terms and conditions, and agree to be governed by the laws of India including but not limited to the laws applicable to data protection and privacy.

THIS POLICY DESCRIBES OUR POLICIES AND PROCEDURES FOR COLLECTION, USE, STORAGE, DISCLOSURE, AND PROTECTION OF ANY INFORMATION, INCLUDING, BUT NOT LIMITED TO, BUSINESS OR PERSONAL INFORMATION PROVIDED BY YOU (“YOU/R”) WHILE USING THE WEBSITE/APP.

THIS POLICY CONSTITUTES A LEGAL AGREEMENT BETWEEN YOU, AS THE USER OF THE PLATFORM, AND THE COMPANY, AS THE OWNER OF THE PLATFORMS. BY VOLUNTARILY PROVIDING US WITH INFORMATION, YOU ARE CONSENTING TO COMPANY’S USE OF IT IN ACCORDANCE WITH THIS POLICY. THIS POLICY DOES NOT APPLY TO THIRD-PARTY WEBSITE/APPS THAT ARE CONNECTED VIA LINKS TO THE WEBSITE/APP. IF YOU DO NOT AGREE WITH THE TERMS AND CONDITIONS OF THIS POLICY, PLEASE DO NOT PROCEED FURTHER TO USE/ ACCESS THIS WEBSITE/APP IN ANY WAY OR DOWNLOAD THE APP. ALSO IN THE ABSENCE OF AN ACCEPTANCE OF THE POLICY BY YOU, WE WILL NOT BE ABLE TO PROVIDE THE SERVICES OR PRODUCTS TO YOU.

THIS POLICY HAS BEEN DRAFTED IN ACCORDANCE WITH THE INFORMATION TECHNOLOGY ACT, 2000.

Information Collected

We will use the information provided by You only in accordance with the purposes described in this Policy.

We collect Your Personal Information or Non-Personal Information (as hereinafter defined) when You download and use the Websites/App and at the time of Your registration with the Websites/App. Further, We collect information from You during the performance of Services for You. We collect information with respect to Your name, mobile number, email, address, IP Address, zip code, age, gender, occupation, Your location, device ID, Device location, and other related things like crops grown, crops to check prices for, products interested in, articles, and posts liked, etc. In addition to the foregoing, We also access Your contacts on Your mobile phone and Your SMSs. We also gain the ability to write to the external memory on Your mobile phone. We collect all of the foregoing information in order to provide You with the Services.

Except as provided herein, We do not solicit any Sensitive Information about You. However, if You share such information with Us voluntarily, We will not be liable for any actions, claims, costs, expenses, or other liabilities that may arise as a consequence of any unauthorized use or misuse of such information.

During Your use of the Websites/App, We may collect and process such information from You, including but not limited to the below mentioned:

(a) Personal Information:

“Personal Information” means and includes:

(a) Information that You provide to Us by filling in forms on the Websites/App. This may include contact information such as name, email address, mailing address, phone number, financial information, if any, unique identifiers such as user name, account number, password, and preferences information such as favourites lists, and transaction history;

(b) Information that You voluntarily provide when You write directly to Us (including by e-mail and surveys);

(c) Information that You specifically provide Us access to while accepting the Terms and Conditions of use of the Websites/App.

(b) Non-Personal Information:

“Non-Personal Information” means and includes any information that does not reveal Your specific identity, such as browser information, information collected through Cookies (as defined below), pixel tags, and other technologies, and demographic information, etc. Our Websites/App gathers some information automatically when You visit the Websites/App and stores it in log files. We may collect certain information about Your computer or other electronic device through which You have accessed the Websites/App to facilitate, evaluate and verify Your use of the Websites/App.

“Cookies” are small files that reside on Your computer's hard drive and generally contain an anonymous unique identifier and are accessible only by the Website/App that placed them there and not by any other sites. We use reasonable safeguards to preserve the integrity and security of Your information against loss, theft, unauthorized access, disclosure, reproduction, use, or amendment. All information You provide to Us is stored on Our secure servers within India.

By submitting Your information on Our Websites/App, you agree to the handling of Your information by the Company in a manner as stated under this Policy. We will take such steps as We consider reasonably necessary to ensure that Your information is treated securely and in accordance with the Policy.

We assume no liability for any disclosure of information due to errors in transmission, unauthorized third-party access, or other acts of third parties, or acts or omissions beyond Our reasonable control and You agree that You will not hold Us responsible for any breach of security unless such breach has been caused as a direct result of Our gross negligence or wilful default.

In using the Websites/App, you accept the inherent security implications of data transmission over the internet and the world wide web cannot always be guaranteed as completely secure. Therefore, your use of the Websites/App will be at Your own risk.

We may disclose such information to third parties in order to provide You with customer support facilities, to comply with Our legal obligations, to enforce Our Terms of Use, to facilitate Our marketing and advertising activities, or to prevent, detect, mitigate, and investigate fraudulent or illegal activities related to the Websites/App, and to avail services from third parties for data analysis and market research.

In the event the Company is merged with or acquired by another company or in case of re-organization or re-structuring of business, We and Our affiliates will share Your Personal Information, wholly or in part, with another business entity.

We may share Your information with third parties including third-party service providers/agents/partners, etc. and in such an event, the third parties’ use of Your information will be bound, among other things, by the Policy. 4. Use of Third-Party Services

The Websites/App may contain links to third-party websites/products/services which are outside Our control and are not covered by this Policy. If You access other websites using the links provided, the operators of these websites may collect Your information which will be used by them in accordance with their privacy policy, which may differ from Ours. If You provide any information that is untrue, inaccurate, outdated, or incomplete (or becomes untrue, inaccurate, outdated, or incomplete), or the Company has reasonable grounds to suspect that the information provided by You is untrue, inaccurate, outdated, or incomplete, We may, at Our sole discretion, discontinue the provision of the Services to You.

12. Appointment of Grievance Officer (GO)

We have appointed a Data Protection Officer to oversee data protection strategy and implementation. The GO is responsible for monitoring compliance with the Act, advising on data protection impact assessments, and serving as a point of contact for data subjects and the data protection authority.

13. Data Breach Notification

In the event of a data breach, we will notify You and take appropriate action to mitigate the breach and prevent future incidents.

14. Training and Awareness

We educate and train our employees on data protection principles and practices. Employees are made aware of their roles and responsibilities in safeguarding personal data.
